Young Makers Terms & Conditions
PARTICIPATION TO A YOUNG MAKERS PROGRAMME IS SUBJECT TO ACCEPTANCE OF THESE TERMS AND CONDITIONS.
IMPORTANT: A Participant attending Young Makers Programmes is deemed to be consent to that Participant undertaking all of activities organised in these Programmes.
A. DEFINITIONS
"You" or "yourself" refers to you, being the parent or legal guardian of the Participants, or person duly authorised by the parent or legal guardian of such Participants.
"Company", "we", "us" or "our" shall mean Positive X Sdn Bhd, formerly known as Urban Stove Sdn Bhd (Company No 1140336-T) of NBC 3A-3A Sunway Nexis, Jalan PJU 5/1, Kota Damansara, 47810 Petaling Jaya, Selangor, MALAYSIA, employees, our business associates, affiliates and partners, and authorised vendors.
"Programme" or "Programmes" refer to the provision of training course(s) and summer camps by us. Unless clearly inappropriate, singular terms refer also to the plural number and vice versa.
"Participant" or "Participants" shall mean those who are in the eligible of between 7 and 17 years old (inclusive) and who will be attending our Programme. Unless clearly inappropriate, singular terms refer also to the plural number and vice versa.
"Location" refers to the locations of where the Programmes will be held including the travelling to and from the Location.
"Investment" or "Programme fee" shall mean the full payment for our Programme.
B. TERMS AND CONDITIONS
1. These Young Makers Terms & Conditions ("Terms") set out all the terms and conditions upon which we provide the participants with access to the respective booked Programmes organised by us. Please read these Terms carefully before booking the Programme.
2. Programme Fees paid (“Bookings”) are non-transferable, and, save as expressly set out in these Terms, non-exchangeable and non-refundable (unless otherwise agreed in writing between you and the Company). By booking a Programme for your Participants, you agree and accept to be bound by these Terms.
3. Upon booking, you agree that your Participants will:
3.1. respect the property of others;
3.2 respect and treat others as they wish to be treated;
3.3 not use abusive or obscene language; and
3.4 not be aggressive.
C. BOOKING CANCELLATION POLICY
1. If you wish to cancel a Booking for any reason, you must do so in writing to the Company'. Cancellation may be done via email. Please email cancellations@positivex.asia.
2. This Booking may be cancelled at least twenty-one (21) days before the start of the Programme. If a Participant must cancel for medical reasons, a full refund of the Programme Fee will be reimbursed on receipt of a valid doctor's certificate.
3. We reserve the right to apply the following cancellation charges:
3.1. 0% cancellation fees if cancellation at least twenty-one (21) days before the start of the Programme.
3.2. 100% cancellation fees if cancellation is less than twenty-one (21) days before the start of the Programme.
D. PARTICIPANT RULES, REGULATIONS AND YOUR LIABILITY
1. Eligible Participants for our Programmes are between 7 to 17 years old (inclusive) and not being infectious. For the avoidance of doubt, age means a person's legal age (i.e. according to actual date of birth).
2. Please be aware that your Participant might carry out an activity that you would not have chosen for them. Booking your Participant for our Programmes is deemed to be consent to that Participant undertaking all of the activities available in our Programmes.
3. If your Participant has any medical condition, allergies and disability or other educational needs that may impact upon his or her participation to our Programmes, please notify us on +603 2724 2532 or info@positivex.asia or a member of the programme team when checking in so we can cater for your participant’s needs and put in place any appropriate arrangements to ensure your child has the best experience. Participants with allergies will be issued with a white awareness band and participants with other additional needs will be issued with a yellow awareness band. Our awareness bands alert our staff that special assistance may be required to ensure your participant has a safe and enjoyable experience with us.
4. Participants must keep their essential prescribed medication with them at all times.
5. In the event of an accident, first aid will be administered to the Participant, and the emergency services or a licensed doctor will be called if necessary.
6. In the event you and your emergency contact are not reachable during an emergency, you give permission to the doctors selected by us to medically attend to your Participant as they professionally see fit.
7. You agree to be wholly liable for any and all actions and/or omissions of the Participant. Without prejudice to the generality of the foregoing, you shall be liable for any liability, financial or otherwise, or injury or damage to property caused by the Participant whilst at the Location, and shall fully indemnify us for any loss, damage, costs or expenses resulting from such liability, injury or damage.
8. We have the right to make rules and regulations relating to the Participants's participation in the Programme ("Code of Conduct"). The Code of Conduct forms part of these Conditions and will be notified to the Participant at the Location or earlier.
9. We are sensitive to certain allergens but cannot guarantee their exclusion from the Location.
10. As the well-being and safety of the Participants in our care is our main concern, we reserve the right to deny admission, or to require you to remove a Participant from the Programme, without refund or compensation, for failure to comply with any of the our rules, for unsafe, illegal or offensive behaviour, to ensure safety, security or order, or if we consider that the circumstances so require. You will also be responsible for any extra costs associated with returning the Participant home early.
11. Programme rules and instructions by coaches, facilitators, counselors and staff must be followed at all times.
12. You accept these Terms on behalf of every Participant for whom you have booked a Programme with us and shall ensure that these Terms are notified to and followed by such Participants.
13. The language spoken at our Programmes is English, so a basic knowledge is a pre-requisite. You confirm ability of your Participants to have sufficient language skills for them to participate meaningfully.
E. JEWELLERY, ELECTRONICS, VALUABLES AND LOST PROPERTY
1. We will not be liable for any item of jewellery, electronics or valuable property brought to the Location by the Participants.
2. We will not be responsible for any property left at the Location (by the Participants or otherwise), and may dispose of any such property if not claimed and collected by you within seven (7) days of the end of Programme.
F. PERSONAL SEARCHES
1. We reserve the right to search the bags and other personal property of all Participants in appropriate circumstances.
G. SMOKING, ALCOHOL AND DRUGS
1. Possession and consumption of alcohol, tobacco or drugs by the Participants at Locations are NOT PERMITTED UNDER ANY CIRCUMSTANCES. Please note that if the Participant does not adhere to this condition, he/she will be removed from the Programme in accordance with clause D.10. of these Conditions.
H. CHILD PROTECTION AND SAFEGUARDING
1. We will contact relevant authorities if we suspect abuse or in an event of a disclosure.
2. It is your responsibility to give us information (name, address and other contact details) of every person who is a parent and/or carer and/or has parental responsibilities for the Participant. It is also your responsibility to tell us who the Participant normally lives with.
I. FILMING AND PHOTOGRAPHY
1. From time to time, we carry out photography and/or video recording during our Programmes which may feature Participants. By accepting these Terms, you, being the parent or legal guardian of such persons, or person duly authorised by the parent or legal guardian of such person, consent to the use of such images and/or recordings by us in connection with advertising, promoting our Programmes (such as on our website, social media sites and pages, partner sites, outdoor advertising and brochures), and for our internal purposes, and in doing so, you allow us to edit, modify, publish and make available such images and/or recordings. You acknowledge and agree that you will not receive compensation if we use such images and/or recordings for the purposes set out above. You further agree that copyright in these materials rests with the Company or such authorised party (as the case may be).
J. PROGRAMME CANCELLATION OR SUBSTITUTIONS
1. In rare circumstances beyond our control, we reserve the right to cancel a Programme but we will endeavour to notify you as soon as we become aware that this is necessary. Should we have to cancel the programme, we will refund the Programme Fees you have paid to us within fourteen (14) days of cancellation.
2. We reserve the right to amend and/or cancel any programme, timing, dates and venue and/or substitute the coaches, speakers and facilitators for any programme. We will notify you in writing of the changes made and you shall not be entitled to any claim for a refund or for any costs, expenses, losses, damages or liabilities which may be incurred or suffered by you as a result of such cancellation or amendment or changes.
K. LIABILITY
1. Except in respect of death or personal injury caused by our negligence, we shall not be liable to you or the Participant by reason of any representation (unless fraudulent) or any implied warranty, conditions or other term or any duty at common law or under the express terms of these Terms for any loss of profit or any indirect, special or consequential loss, damage, costs, expenses or other claims (whether caused by or negligent or the negligence of our servants, or agents or otherwise) which arise out of or in connection with the provision of the Programmes or their use by you or the Participant, and our entire liability under or in connection with these Terms shall not exceed the amount of our Programmes Fees for these Programmes.
2. Where we provide, in connection with the Programmes, any goods or equipment or services supplied by a third party, we do not give any warranty, guarantee or other terms as to their quality, fitness for purpose, performance or otherwise.
3. We shall have no liability to the Participant for any loss, damage, costs, expenses or other claims for compensation arising from any instructions supplied by you which are incomplete, incorrect, inaccurate or illegible, or arising from the Participants's late arrival or non-arrival, or any other fault of you or the Participant.
4. We shall not be liable to you or be deemed to be in breach of the contract by reason of any delay in performing, or any failure to perform, any of our obligations in relation to the Programmes, if the delay or failure was due to any cause beyond our reasonable control.
5. We advise you to take out travel insurance covering your Participants against cancellation, curtailment, personal liability, personal accident and lost property.
6. We reserve the right to alter programmes, activities, itineraries, excursions, age brackets, premises and personnel as it thinks fit and without notice.
7. We will not be bound by any statement unless it is in writing and authorised by a Director of Positive X Sdn Bhd.
L. FORCE MAJEURE
1. We shall not be liable for any delay in performing or failure to perform any obligation (including to action any alteration or cancellation) due to any case beyond our reasonable control including lock-outs, strikes, shortages of personnel, labour disputes, war, riot, act of God, civil commotion, terrorism, malicious damage, threats to safety, compliance with any law or governmental order, rule, regulation or direction, accident, environmental contamination, pandemic outbreak of disease, breakdown of plant or machinery, fire, flood, storm, difficulty or increased expense in obtaining workmen, materials, goods or raw materials in connection with the performance of this agreement. No refund will be made, except at our discretion.
M. CONSENT
1. You hereby confirm that you consent for us to contact you by phone, email, SMS, or other means in regards to this Booking and future opportunities.
2. You further consent to your email address being used for the mailing list of the Company for purposes of notification of products and/or services being offered by us and/or its affiliates. Your contact number and email address are kept confidential, and never will be published, sold or disclosed to third parties without your explicit consent.
3. You can remove yourself from emails at any time by using the unsubscribe link provided at the bottom of each email we send.
N. INTELLECTUAL PROPERTY
1. We shall have all the rights, title and interest in all intellectual property used by us in performing the Programmes and all intellectual property we may develop as a result of the performance of the Programmes.
2. In carrying out the Programmes for you, we do not transfer the title to you in any intellectual property and title to all such intellectual property remains with us.
3.. We grant you a personal, non-exclusive, non-transferable, non-sublicensable, recoverable, license to use the Materials strictly for personal non-commercial purposes only. Any other use or exploitation of these Programme materials is strictly prohibited and may result in criminal or civil action.
4. You may not:
4.1. alter any of our intellectual property or the Materials; and/or
4.2. use any recording device or record the Programmes; and/or
4.3. sell the intellectual property or the Programme materials ("IP") or supply the IP to any other third parties.
O. OTHER IMPORTANT TERMS
1. We have the right to revise and amend these Terms from time to time by notifying you or placing updated Terms on our website. You may not vary these Terms unless agreed in writing with us. You will be subject to the Terms in force at the time that you booked a Summer Camp to KidZania London (unless otherwise notified in writing).
2. You may not transfer your rights or your obligations under these Terms to another person.
3. This contract is between you and us. No other person shall have any rights to enforce any of its terms.
4. Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.
5. If we fail to insist that you perform any of your obligations under these Terms, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.
6. If any of these Terms is determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.
7. These Terms and any document referred to in them constitutes the whole agreement between us and supersedes all previous discussions, correspondence, negotiations, previous arrangement, understanding or agreement between us relating to the subject matter of these Terms.
8. You acknowledge that, in agreeing to these Terms, you do not rely on any representation or warranty (whether made innocently or negligently) that is not set out in these Terms. Nothing in this paragraph excludes liability for fraud.
9. These Terms shall be governed and construed in accordance with the laws of Malaysia and the parties hereby agree to submit to the exclusive jurisdiction of the courts of Malaysia.

8. You acknowledge that, in agreeing to these Terms, you do not rely on any representation or warranty (whether made innocently or negligently) that is not set out in these Terms. Nothing in this paragraph excludes liability for fraud.
9. These Terms shall be governed and construed in accordance with the laws of Malaysia and the parties hereby agree to submit to the exclusive jurisdiction of the courts of Malaysia.
